What We Do
When We Get Involved
We provide the independent predictive intelligence, risk and vulnerability assessments and governance counsel required by the C-suite and board navigating high-stakes corporate inflection points. We guide our clients’ strategic choices throughout:
M&A, IPOs, demergers, spin-offs, follow-ons, complex restructurings and equity & debt capital raises
Activist protection and defence, proxy contests, institutional shareholder engagement and executive succession
Macro shocks, cybersecurity breaches, regulatory investigations, operational & physical business disruptions and existential reputation management
How We Deliver Value
In these critical situations, our advice is designed to safeguard our client’s reputation, protect its valuation and credibility, preserve its strategic choices and ensure board longevity:
We align corporate events, post-assessment remediation initiatives, or the strategic rationale of a transaction with institutional investor expectations to mitigate market arbitrage and execution risk
We support the leadership and board to establish industry-defining authority prior to, and throughout, high-stakes events, by structuring strategic readiness protocols and pre-emptive market narratives, preparing rigorous thought leadership and anchoring market confidence
We provide independent intelligence that eliminates blind spots and underpins board decisions. This process mitigates governance risk, builds a defensible record of due care, minimizes fiduciary liability, upholds strategic autonomy and enables internal governance stability and cohesion
What We Deliver
We equip leadership teams with clear, actionable advisory outputs designed to insulate the board and protect corporate valuation and credibility:
Granular evaluations to identify governance, valuation or corporate strategy and capital allocation perception gaps, paired with clear action paths
Targeted strategic dry-runs to prepare directors for high-stakes scrutiny, activist interventions, or proxy contests
Objective evaluation of leadership communication against aggressive market dynamics and adversarial scenarios
Deep-dive reviews to uncover hidden vulnerabilities that threaten institutional standing
Strategic data analytics evaluating how governance, strategic and equity story vulnerabilities expose the company to value dislocation and trading volatility
High-level strategic intelligence providing the board with unvarnished data on institutional shareholder positions on strategic direction and other key issues to prevent value leakage and proxy blind spots
Comprehensive reviews of systemic investor communications to ensure the strategic rationale of a transaction or corporate event perfectly protects board autonomy, anchors market confidence and aligns with institutional expectations
Tailored, rapid-deployment operational frameworks designed to contain unauthorized disclosures and maintain narrative control
Multi-year narrative alignment designed to fix persistent valuation discounts by aligning internal board assumptions with public market realities
